These Terms and Conditions (T&Cs) govern the relationship between Zhorna Interior Design and its clients. You agree to be legally bound by these T&Cs by accessing or engaging our services. If you do not agree with any part of these terms, please refrain from using our services.
1. Scope of Services
Zhorna Interior Design provides comprehensive services, including but not limited to:
- Residential interior design (new and renovation projects)
- Commercial interior design (offices, hospitality spaces, and retail shops)
- Architectural consultancy (concept development, furniture design, and structural guidance)
We customize solutions based on client needs, budget, and space requirements. The project proposal and agreement outline specific deliverables.
2. Client Responsibilities
- Clients must provide accurate and complete information about the project site, including dimensions, existing structures, and intended usage.
- The client is responsible for all necessary permissions, licenses, or approvals required from local authorities or landlords.
- Clients are expected to be accessible for regular updates, approvals, and project-related discussions to ensure smooth progress.
3. Payment Terms
Payment for projects will adhere to the following schedule unless otherwise agreed:
- Initial Deposit: 50% of the total project cost upon signing the contract to confirm the order.
- Midway Payment: 40% upon completion of key milestones (e.g., furniture installation or initial framework completion).
- Final Payment: 10% upon project completion and final handover.
Payment Methods:
- Bank transfers, account pay cheques, or digital gateways approved by Zhorna Interior Design.
Late payments may result in project delays or additional charges. Work may be halted if payments are delayed beyond the agreed timeline.
4. Design Fees
Design fees are determined based on the scope of services and will be detailed in the project agreement. These fees cover design work, consultations, and project management but exclude material costs, furnishings, or contractor services unless explicitly mentioned.
5. Pricing and Taxes
- All prices are quoted in Bangladeshi Taka (BDT).
- Prices exclude government taxes, VAT, and other statutory charges, which will be added to the final invoice.
We reserve the right to adjust pricing for unforeseen project complexities or changes requested by the client.
6. Intellectual Property
All designs, drawings, plans, and creative assets provided by Zhorna Interior Design are the exclusive intellectual property of the Company. Unauthorized duplication, sharing, or use of these materials without prior written consent is strictly prohibited.
Upon full payment, clients may receive limited usage rights for the agreed purpose.
7. Changes to Scope of Work
- Adjustments to the original scope, such as design revisions, additional features, or structural changes, must be requested in writing.
- These changes may result in additional costs and timeline adjustments.
- Both parties must agree to any changes through an official addendum to the contract.
8. Project Timeline
- An estimated timeline will be provided at the start of the project.
- While every effort will be made to meet deadlines, factors such as material delays, client approvals, or force majeure events may impact completion dates.
- Extensions may require a revised agreement on costs and timelines.
9. Warranty and Maintenance
- A warranty for specific premium services or materials may be provided, as detailed in the project agreement.
- Zhorna Interior Design is not responsible for damages caused by misuse, environmental factors, or lack of maintenance post-handover.
10. Termination and Cancellation
- Either party may terminate the contract by providing a 14-day written notice.
- Upon termination, clients will be billed for all completed work and materials procured up to the date of cancellation.
- Advance payments are non-refundable unless otherwise specified in the agreement.
11. Limitation of Liability
Zhorna Interior Design is committed to delivering quality service but will not be held liable for:
- Indirect damages or losses due to project delays, material shortages, or third-party contractor errors.
- Issues arise from incorrect information or decisions made by the client.
12. Governing Law and Dispute Resolution
- These T&Cs are governed by the laws of Bangladesh.
- Disputes will be resolved through arbitration by Bangladeshi regulations. The decision of the arbitrator will be final and binding.
13. Entire Agreement
These Terms and Conditions represent the complete agreement between Zhorna Interior Design and the client. They supersede all prior discussions, proposals, and agreements unless explicitly stated.
14. Amendments
Zhorna Interior Design reserves the right to amend these T&Cs as necessary. Clients will be notified of significant updates.
15. Notices
All official communications must be made in writing and sent via email, registered post, or hand-delivered to the addresses specified in the agreement.
